This summary helps you read the terms; it doesn't replace them.
1. Who these terms are between
These terms are an agreement between Ox One Consulting Inc., of Calgary, Alberta ("PartOf", "we", "us"), and the community, association, school, club or other organization that creates a PartOf account ("you", "your community"). The person who signs up confirms they're allowed to accept these terms for the community.
PartOf isn't available to communities in Quebec yet.
2. Accounts
- Give us accurate information and keep it current.
- Keep sign-in details private. You're responsible for what happens under your community's account, including what the admins, editors and door volunteers you invite do.
- The owner can add and remove people and change their roles at any time.
3. Acceptable use
You agree to:
- Follow the law, including Canada's anti-spam law (CASL) and privacy laws.
- Email only people who agreed to hear from you, or with whom you have a relationship that CASL allows. Don't buy, rent or scrape lists.
- Get the consents you need before collecting personal information, and ask only for what you need. Don't collect social insurance numbers or card numbers in PartOf.
- Upload only content you have the right to use.
- Not interfere with PartOf: no malware, no probing or bypassing security, no scraping and no load that harms other communities.
- Not use PartOf for anything harassing, hateful, deceptive or illegal.
4. Your data
Your community owns the information it puts into PartOf. You give us permission to host, copy and process it only as needed to run PartOf for you, keep it secure and support you. For your members' information, you're the controller and we're your processor. Our Data Processing Addendum is part of these terms and sets out how we handle it. Our Privacy policy and the list of subprocessors explain who helps us.
5. Money between you and your members
PartOf doesn't process card payments or hold money. Members pay you directly by e-transfer, cash, cheque or at the door, and you mark payments received. You're responsible for your own prices, refunds, taxes and any official donation receipts. Receipts PartOf emails confirm a payment you recorded; they aren't official tax receipts.
6. Plans, trial and fees
- Free plan: up to 100 members, 3 active events, 2 admins and 1,000 emails a month.
- Trial: every new community gets 60 days of the Community plan. At the end, you pick a paid plan or your community moves to Free. We never charge you without your say-so.
- Paid plans are billed yearly in advance, in Canadian dollars plus applicable taxes, by invoice. Current prices are on our pricing.
- Price changes take effect at your next yearly renewal, with at least 30 days' notice.
- Setup help, such as moving your members over for you, is optional: $1,500 once, plus applicable taxes, agreed in writing before work starts.
- Fees already paid aren't refundable, except where the law requires it or where these terms say otherwise.
7. Cancelling and taking your data
- You can export your data as CSV at any time.
- You can cancel a paid plan at any time; it stays active until the end of the year you paid for, then moves to Free.
- The owner can delete the community. We delete its data within 30 days, and backups roll off within 35 days. Export first: deleted data can't be recovered.
8. Suspension
We may suspend a community's account if an invoice is unpaid after we've reminded you, if the account breaks section 3, if it puts PartOf or other communities at risk, or if the law requires it. Where we reasonably can, we'll tell you first and give you a chance to fix it. We'll restore access once the problem is fixed. If we suspend you for a security risk you didn't cause, you won't lose paid time.
9. Ending the service
If we stop offering PartOf, we'll give at least 90 days' notice so you can export your data, and refund fees you've prepaid for the unused part of the year.
10. The service itself
We work to keep PartOf running and secure, and we improve it over time. Features can change. We won't remove a core feature you're paying for during your paid year without telling you and offering a fair refund.
11. Warranties
To the extent the law allows, PartOf is provided "as is" and "as available". We don't promise it will be uninterrupted or error-free, or that it suits every purpose. Signed waivers and forms are records your community chooses to keep; whether a waiver is enforceable depends on its wording and the law, and isn't something we guarantee.
12. Liability
To the extent the law allows, our total liability for any claims under these terms is limited to the fees you paid us in the 12 months before the claim arose. Neither of us is liable to the other for indirect or consequential losses, such as lost profits or lost goodwill. Nothing in these terms limits liability that the law doesn't allow to be limited.
13. Law and courts
These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. Disputes go to the courts in Calgary, Alberta. Before going to court, we'll both try in good faith to resolve the issue by talking.
14. Changes to these terms
We'll email community owners and post the new terms here at least 30 days before a change takes effect. If you don't agree, you can cancel before then. Continuing to use PartOf after that means you accept the new terms.
